1. Acceptance of Terms

By accessing or using the services provided through https://shrine.io ("the Website") by Shrine Solutions Ltd, a company incorporated in the Republic of Cyprus with registration number HE 453354 (hereafter referred to as "SHRINE"), including but not limited to the use of our license key to access our Shopify themes, you, the user, whether acting as an individual or on behalf of an entity ("User" or "Users"), agree to be bound by these Terms of Use ("Terms"). These Terms govern your access to and use of our services which refers to all digital products offered on the Website, including but not limited to Shopify themes, associated license keys, updates, additional support, and any other related service associated with the digital products (collectively, the "Service(s)"). By engaging with SHRINE through the Website or by utilizing the Service, you enter into a legally binding contract with SHRINE. If you do not agree with any part of these Terms, you are not authorized to access or use the Service.

2. Service Provision

SHRINE provides a comprehensive suite of Shopify themes tailored to enhance the functionality and visual appeal of eCommerce platforms. Our Services are designed to offer Users seamless access to a range of proprietary themes that can be utilized to customize and elevate online store aesthetics and user experience.

3. Availability and Accessibility

The SHRINE Service is accessible online, aiming for constant availability to our Users. However, access to SHRINE's themes and services may be subject to temporary interruptions due to scheduled maintenance, updates, or unforeseen technical issues. While we strive to minimize downtime and schedule maintenance during off-peak hours to reduce impact, SHRINE cannot guarantee uninterrupted service availability.

4. Compatibility and Performance

SHRINE's themes are optimized for compatibility with a wide range of devices and browsers, enhancing the flexibility and reach of your eCommerce platform. Despite our efforts to ensure broad compatibility, the performance and functionality of our themes may vary depending on your hardware, software, and internet connection. We continuously work to update and improve our Services but cannot assure that they will meet all specific requirements or expectations regarding hardware or device compatibility.

5. Content Management and Responsibility

Users retain ownership and control over the content they create or upload using SHRINE's themes. While SHRINE reserves the right to modify, update, or any Service, we respect the integrity of your content. Any modifications to the Services will be communicated in advance whenever possible, ensuring transparency and user preparedness for changes. It is the User's responsibility to maintain backups of their content, as SHRINE is not liable for any loss or corruption of data.

6. Updates and Support Eligibility

6.1 SHRINE is committed to the continuous improvement of their Services. We reserve the right to introduce updates, enhancements, and new features to ensure our Services remain at the forefront of eCommerce design and functionality. Users will be informed of significant updates and have access to the latest versions of themes as part of their service package, subject to the terms and conditions outlined herein.

6.2 Regardless of when a User purchased any of the available themes through the Website, all existing Users are entitled to use the latest available version of the theme, subject to certain restrictions and exceptions and only as long as their Support status remains Active.

For the purpose of these Terms, “Active” shall mean Users who purchased the theme within the past year and maintain an Active Support status, as indicated by their Account Centre tab, which shows their support expiration date. (Exceptions apply to Users who have purchased Lifetime Support, as outlined in Clause 7 below) and “Support” shall mean: Full access to the Theme Updater, access to the latest versions of the purchased theme (subject to eligibility), unlimited email support for any issues, and any additional features that SHRINE may introduce from time to time to enhance the User experience.

6.3 All Shopify themes provided by SHRINE and purchased through the Website include a one-year Support, starting from the date of purchase of any of the themes provided through the Website. If a User purchases a new license key while already holding an Active key, their one-year Active Support Status will reset, beginning from the date of the most recent purchase. For example : Person A purchased a Pro key on 12/12/23 and a Regular key on 17/12/24. Their support status for both keys remains Active until 17/12/25. Person A can access the latest versions of both Pro and Regular keys and enjoy all other benefits of an Active Support Status until 17/12/25.

6.4 Users are considered ineligible for Active Support if:

a) They purchased the theme over a year ago from their purchase date.

b) They did not purchase the Lifetime Support package (See clause 7 below).

( collectively reffered to as the the “Ineligible Users”)

6.5 Restrictions for Ineligible Users:

a) Access to the Theme Updater will be disabled. Users will receive a message explaining their ineligibility and a link to purchase the Lifetime Support package, should they wish to access Version 1.3.0 and any subsequent versions.

b) Ineligible Users cannot access theme versions released after their Support status expired. Attempting to use unsupported versions will result in error code NSE-010, directing you to install the latest version available before your Support status expired.

c) Users re-whitelisting domains will be offered the latest version allowed under their Support Status.

d) Ineligible Users will not receive email support unless the issue arrises from an error on SHRINE’s side.

7. Lifetime Support

Users who purchase Lifetime Support, will enjoy the following benefits:

a) Their Support Status will display “Lifetime Support” instead of a countdown or expiration date.

b) Lifetime Support status will also be reflected in the Account Center.

c) Full access to the Theme Updater.

d) Access to the latest versions of all themes purchased, regardless of purchase date.

e) Unlimited email support for any issues.

f) Lifetime access to all versions of their themes.

g) Lifetime Support applies to all owned themes, requiring only one purchase.

8. License Grant and Use Restrictions

8.1 Upon acceptance of these Terms and successful acquisition of a license key, SHRINE grants you a limited, revocable, non-exclusive, non-transferable license to access and use our Services, provided by SHRINE, strictly in accordance with these Terms. This license is designed to enable you to utilize the

Shopify themes for the purpose of creating and managing your eCommerce site, enjoying the benefits of the Service as intended by SHRINE.

8.2 Under this license, you are permitted to:

a) Access SHRINE's Shopify themes using the provided license key.

b) Customize SHRINE's Shopify themes for your personal or commercial eCommerce site.


8.3 However, the following use restrictions apply:

a) You may not copy, modify, distribute, sell, or lease any part of the Service, including software and Shopify themes, nor reverse engineer or attempt to extract the source code, except as permitted by applicable law.

b) Using SHRINE's trademarks, logos, and brand features without express written permission is prohibited. This includes any use that suggests an affiliation with or endorsement by SHRINE.

c) Creating derivative works from SHRINE's Shopify themes or any part of the Service requires prior written consent from SHRINE.


This license grants you access to SHRINE's proprietary resources within defined boundaries to ensure respect for intellectual property rights and the maintenance of the service's integrity. Violation of these license terms will result in termination of the license at SHRINE's discretion.

9. User Obligations and Restrictions

9.1. As a User of SHRINE's Service, you are entrusted with certain responsibilities and bound by specific restrictions to ensure a respectful, legal, and secure use of the Service. Your adherence to these obligations and restrictions is fundamental to maintaining the integrity and legality of your activities within the SHRINE ecosystem.

9.2 You are obligated to:

a) Use the Service in accordance with all applicable local, national, and international laws, including copyright laws and Shopify's terms of service.

b) Not share, sell, transfer, or sublicense your license key to any third party without SHRINE's explicit permission. Your license key is for your use only.

c) Customize SHRINE's Shopify themes for your use responsibly. Do not distribute, resell, or publicly share modified or unmodified versions of the themes without SHRINE's prior written consent.


9.3 You agree not to:

a) Violate any laws or regulations in your use of the Service. Do not transmit or upload any material that is abusive, defamatory, obscene, or otherwise objectionable.

b) Use SHRINE's intellectual property, including trademarks and logos, in a way that falsely implies an endorsement or relationship with SHRINE.

c) Use the Service in a manner that could damage, disable, or impair the Service; or interfere with any other party's use and enjoyment of the Service. This includes engaging in activities that harm SHRINE's reputation, security, and operation.

d) Attempt to gain unauthorized access to any part of the Service or related networks, or to derive the source code of the software provided as part of the Service, except as permitted by law.

e) Use automated systems or software to extract data from the Service for commercial purposes ('screen scraping') without a direct written agreement from SHRINE.


9.4 SHRINE reserves the right to take appropriate actions to enforce these obligations and restrictions, including the termination of your license to use the Service for violations. We aim to promote a safe, legal, and respectful environment for all users.

10. Payment Credits

10.1 SHRINE may offer a digital credits system ("Payment Credits") that Users can purchase and use on the Website. Each Payment Credit is equivalent to one (1) United States Dollar (USD) and may be applied toward the purchase of any Service available on the Website, including digital products, license key top-ups, or any other features expressly made available for purchase using Payment Credits.

10.2 Payment Credits are non-refundable, non-transferable, and non-reusable. Once purchased, Payment Credits cannot be exchanged for cash, returned, or redeemed for any other monetary value, except as expressly provided under these Terms.

10.3 Users may purchase Payment Credits using any payment method supported by the Website at the time of purchase, including but not limited to credit and debit cards (Visa, Mastercard, American Express, and other major providers), bank transfers where applicable, cryptocurrency, or other digital payment methods offered by the Website. SHRINE reserves the right to modify, add, or remove payment methods at its sole discretion.

10.4 Users acknowledge and agree that the purchase and use of Payment Credits are subject to all other Terms and Conditions of the Website, including license usage, updates, and support eligibility. The use of Payment Credits does not alter any other rights or obligations outlined in these Terms.

10.5 SHRINE reserves the right to modify, suspend, or discontinue the Payment Credits system at any time. Users will retain access to Services purchased with Payment Credits prior to any modification or discontinuation.

10.6 Any attempt to manipulate, fraudulently use, or obtain Payment Credits in violation of these Terms may result in suspension or termination of the User’s account and forfeiture of all associated Payment Credits.

11. Service Availability and Continuity

11.1. SHRINE is committed to providing a reliable and continuous Service, but recognizes that interruptions may occur for reasons beyond our control, including technical faults, maintenance, and updates. While we strive to maintain high standards of service availability, certain circumstances may lead to temporary unavailability or, in rare cases, permanent discontinuation of the Service.

11.2. In the Event of Temporary Unavailability:

a) SHRINE will make every effort to inform Users ahead of scheduled maintenance or updates that might affect the Service.

b) For unforeseen interruptions, we will promptly communicate the issue's details, anticipated resolution timeline, and any recommended actions users can take to mitigate impact.


11.3 In the Event of Permanent Discontinuation:

a) Should there ever be a need to permanently discontinue updates or support for the Service, Users will retain their license key, allowing continued use of SHRINE's Shopify themes indefinitely, without future updates or support.



b) SHRINE will notify users well in advance of any such discontinuation, providing details on what to expect and how to continue using the Service independently.


11.4 Refund Policy:

a) In line with SHRINE's commitment to the value provided by our perpetual license model, there will be no refunds offered upon permanent discontinuation of updates or support. Users are encouraged to review our Refund Policy for comprehensive details.

b) It's important to note that the perpetual license grants Users ongoing access to their purchased themes, ensuring long-term utility even without new updates or support.


11.5 Pricing Changes

SHRINE reserves the right to alter prices for our Services without prior notice. The cost of SHRINE's Shopify themes and any other offerings may be adjusted according to business needs and market conditions.

12. User Generated Content and Activities

12.1. By submitting content or engaging in any interactive areas within the Service (including forums, contests, and social media platforms), you grant SHRINE an irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, copy, modify, create derivative works from, distribute, and publicly display such content throughout the world in any media. You also grant SHRINE the right to use the name that you submit in connection with such content.

12.2. You acknowledge and agree that all content you provide to the Service is publicly available and not confidential. You should not provide any content or information that you consider private.

12.3. SHRINE reserves the right, but not the obligation, to monitor and edit or remove any activity or content at our sole discretion. SHRINE takes no responsibility and assumes no liability for any user content posted by you or any third-party.

12.4. You agree to refrain from posting or transmitting any unlawful, threatening, defamatory, libelous, obscene, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense or give rise to civil liability, or otherwise violate any law.

12.5. You are solely responsible for your interactions with other Users of the Service and any content that you post. SHRINE will not be liable for any damage or harm resulting from any content or your interactions with other Users of the Service.

13. Intellectual Property Rights

All intellectual property rights in the Service, including but not limited to SHRINE's Shopify themes, associated documentation, content, designs, graphics, logos, and other materials provided as part of the Service, are exclusively owned by SHRINE or its licensors. These Terms and the provision of the Service do not grant you or any third party any ownership, title, or interest in these intellectual property rights, except for the limited rights to access and use the Service explicitly outlined in these Terms.

14. Protection of Intellectual Property

14.1. You agree to respect the intellectual property rights of SHRINE and others. If you believe that your copyright or other intellectual property rights have been infringed by the Service, please notify us by contacting support@shrinesolutions.com, providing a detailed description of the alleged infringement for our review.

14.2 SHRINE respects the intellectual property rights of others and expects Users of the Service and all third party , affiliates to do the same. We will respond to clear notices of alleged copyright infringement and take appropriate action, which may include removing or disabling access to material claimed to be the subject of infringing activity.

15. Intellectual Property Complaints

15.1. SHRINE respects the intellectual property of others and asks users of our Service to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

a) A description of where the material that you claim is infringing is located on the Service;

b) Your address, telephone number, and email address;

c) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

d) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.


15.2. SHRINE will promptly address any claims of copyright infringement at support@shrinesolutions.com and will take appropriate action under applicable intellectual property laws.

16. Personal Information and Privacy

16.1. The collection, use, and sharing of personal information provided by you during the use of the Service is governed by SHRINE's Privacy Policy, which is incorporated by reference into these Terms of Use. By using the Service, you agree that SHRINE can use such data in accordance with our Privacy Policy which all Users will need to read before purchasing any of the Services.

16.2. You acknowledge and agree to provide accurate and complete personal information as required for the use of the Service and as necessary for SHRINE to provide its Services to you. You are responsible for ensuring the security of your account and personal information and for all activities that occur under your account as a result of your failure to keep your personal information secure and confidential.

16.3. SHRINE implements reasonable security measures to protect against unauthorized access to or unauthorized alteration, disclosure, or destruction of data. However, SHRINE cannot guarantee its security measures are impenetrable or that your information will not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards.

16.4. In the event of any breach of the security of your personal information, SHRINE will take legally required actions, which may include notifying you via email or a conspicuous posting on the Service.

16.5. You agree to comply with all applicable privacy laws and regulations, including those applying to PII (Personally Identifiable Information), and you will not use the Service to collect, manage, or process PII without appropriate consent from the users. You will ensure that all PII is collected, processed, and stored in compliance with applicable data protection laws and SHRINE's Privacy Policy.

17. Dispute Resolution

17.1. In the event of a dispute arising under or in connection with these Terms or the Service provided by SHRINE, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within a reasonable period, the parties agree to submit the dispute to binding arbitration in accordance with the laws of Cyprus, where Shrine Solutions Ltd. is incorporated. The arbitration will be conducted by a single arbitrator mutually agreed upon by the parties. The decision of the arbitrator will be final and binding on the parties, and enforceable in any court of competent jurisdiction.

18. Termination

18.1. These Terms will remain in full effect while you use the Service. SHRINE may terminate or suspend your license to use the Service at any time and without prior notice, including in the event of your actual or suspected unauthorized use of the Service or non-compliance with these Terms. Upon termination, your right to use the Service will immediately cease, and you must cease all use of the Service. The provisions

of these Terms that, by their nature, should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

19. Amendments to These Terms

SHRINE reserves the right, at its sole discretion, to modify or replace these Terms at any time without prior notice. Changes to the Terms are effective immediately upon posting to our website. We will update the "Last Updated" date at the top of the Terms of Use document to reflect the most recent changes. It is your responsibility to regularly review the Terms of Use to stay informed of any updates. Your continued use of the Service after any changes to the Terms have been made signifies your acceptance of those changes.

20. Third-Party Code Disclaimer

20.1. SHRINE provides its themes and services as designed and intended to function according to our specifications. While our themes are versatile and designed to be customizable, we do not guarantee compatibility with third-party code, plugins, or custom scripts not developed by SHRINE.

20.2 You acknowledge and agree that any attempt to introduce, integrate, or use third-party code, custom scripts, or modifications within SHRINE themes is at your own risk. SHRINE will not be responsible for any issues, conflicts, or malfunctions that arise due to the use of third-party code, nor will SHRINE provide support for the integration, operation, or troubleshooting of such third-party code.

20.3 We strive to ensure our themes operate seamlessly within the Shopify ecosystem; however, we recommend consulting with a professional developer or our support team before implementing any third-party code or significant customizations. This approach helps maintain the integrity and performance of your theme while minimizing potential issues.

20.4 By using SHRINE themes, you agree to this disclaimer and acknowledge that SHRINE cannot be held liable for any direct or indirect consequences, issues, or liabilities arising from the use of third-party code or customizations not supported by SHRINE.

21. Disclaimer, Exclusion of Warranty, and Indemnity

21.1. SHRINE does not guarantee the accuracy, completeness, quality, suitability, or content of the information provided through its Service or on any associated websites. All such information is provided "as is" without warranty of any kind. This exclusion of warranty applies to the fullest extent permitted by law, notwithstanding jurisdictions that do not allow the exclusion of certain implied warranties.

21.2. SHRINE is not responsible for content uploaded or posted by Users using its Service. Each User is solely responsible for the content they create, upload, or share using SHRINE's Service and must ensure their use complies with all applicable laws and regulations.

21.3. SHRINE shall not be liable for any direct, indirect, special, incidental, or consequential damages, including but not limited to loss of income, profits, or anticipated economic benefits, arising from the use or inability to use the Service, its content, or any associated documentation, even if SHRINE has been advised of the possibility of such damages.

21.4. As a User, you agree to indemnify and hold harmless SHRINE, its directors, officers, employees, agents, and affiliates from any claims, liabilities, losses, and expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms of Use. This indemnification obligation includes any claims brought by third parties as a result of your actions.

21.5. Users must not use the Service or its content in violation of applicable laws and regulations. It is the User's responsibility to ensure that their use of the Service is compliant with all relevant legal requirements.

22. Severability

22.1. If any provision of these Terms, or the application thereof to any person, place, or circumstance, is held to be invalid, unenforceable or void, such provision shall be enforced to the fullest extent permitted by law, and the remainder of these Terms and such provisions as applied to other persons, places, and circumstances shall remain in full force and effect. The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision of these Terms, all of which shall remain in full force and effect.

22.2. In the event that any provision of these Terms is deemed unenforceable, SHRINE and the User agree to an amendment by SHRINE of such provision to provide for enforcement of the provisions' intent, to the extent permitted by applicable law.

23. Miscellaneous

23.1. These Terms constitute the entire agreement between you and SHRINE regarding the use of the Service, superseding any prior agreements between you and SHRINE relating to your use of the Service. If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and will not affect the validity and enforceability of the remaining provisions.

24. Right of Withdrawal

By purchasing and accessing the Services provided by Shrine Solutions LTD, including but not limited to license keys for Shopify themes, you expressly acknowledge and agree that you are aware of your right to withdraw from the purchase within 14 days without providing any reason. However, by purchasing and accessing the Services , including but not limited to the digital products offered on the Website immediately after your purchase, you waive your right of withdrawal, consenting to the immediate provision of the service. This waiver is in accordance with Article 16(m) of the Consumer Rights Directive (2011/83/EU), which allows for the exemption from the right of withdrawal for digital content once the consumer has begun to download or stream it.

26. Acknowledgment of the Terms

If you are accessing and using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms "you" and "your" shall refer to such entity.
